Duties of the Directors
Section 215 (1) CA 2016
A director, in exercising his duties as a director may rely on information, professional or expert advice,opinions,reports or statements including financial statements and other financial data, prepared, presented or made by:
-Any officer of the company whom the director believes on reasonable grounds to be reliable and competent about matters concerned.
-Another director about matters within the director’s authority or
-Any other person retained by the company as to matters involving skills and expertise in relation to
matters that the director believes on reasonable grounds to be within the person;s professional or expert competence.
-Any committee to the board of directors on which the director did not serve in relation to matters within the committee’s authority.

董事在履行董事职责时，可依赖以下人员准备、提交或做出的信息、专业或专家建议、意见、报告或报表（包括财务报表和其他财务数据）：
-董事有合理理由相信在有关事务上是可靠且有能力的公司任何官员。
-另一名董事就其权限范围内的事项或
-公司聘请的任何其他人员，负责处理与董事有合理理由相信属于其专业或专家能力范围内的技能和专业知识相关的事务。
-董事未在董事会下属的任何委员会中任职，但该委员会负责处理属于其职权范围内的事务。
