Removal of Auditors
-Members can remove by way of ordinary resolution (s.276) and special notice required.
-An auditor may not be removed from office before the expiration of his term of office except by resolution under s.276.
-Once received special notice of removal of the auditor, the company must immediately send a copy of the resolution to the existing auditor and the Registrar s.277.
-Auditor can make written representations within 7 days. Copy to be circulated to every member.
-Copies need not be circulated and read out if, on application of company or other aggrieved person, the Court is satisfied that the auditor is using this section to secure “needless publicity” or matter is defamatory or on some other grounds that the court thinks is reasonable.
