Replacement of Auditors
-Written resolution of private company to appoint auditor in place of outgoing auditors s.279.
-Company send copy of the proposed resolution to incoming and outgoing auditor.
-Outgoing auditors may make written representations explaining circumstances behind his resignation within 14 days of receiving the proposed resolution.
-Outgoing auditor may request written representation to be circulated to all members.
-Court may prevent circulation and reading out of representations by reason of “needless publicity.”
-Meeting of members
* special notice of the resolution will be required.
* proposed resolution to be sent to the person proposed to be appointed as auditor.
