PROCEDURES FLOW FOR STRIKE OFF OF A SDN. BHD. IN MALAYSIA
(Section 550, Companies Act 2016)  

Preliminary Eligibility Assessment  

Confirm that the company satisfies all eligibility requirements before proceeding.
The company should:  

✅ No longer be carrying on business or in operation.
✅ Have no intention to recommence business.
✅ Have no assets.
✅ Have no liabilities.
✅ Have no outstanding bank loans or borrowings.
✅ Have no outstanding creditors or debtors.
✅ Have no outstanding tax liabilities.
✅ Have no outstanding EPF, SOCSO, EIS or HRD liabilities.
✅ Have no legal proceedings pending.
✅ Have no outstanding registered charges.
✅ Not be a holding company.
✅ Not be a subsidiary (unless specifically permitted under SSM Guidelines).
✅ Not be a guarantor corporation.
✅ Not be licensed under laws requiring regulatory approval before dissolution.  

The Registrar must be satisfied that the company is not carrying on business or is not in operation and meets the statutory requirements under Section 550.

公司除名（Striking Off）申请流程

初步资格评估（Preliminary Eligibility Assessment）

在办理公司除名申请前，应先确认公司是否符合《2016 年公司法》第 550 条及马来西亚公司委员会（SSM）《公司除名指引》（Guidelines on Application to Strike Off the Name of a Company）所规定的申请资格。

一般而言，公司应符合以下条件：

• ✅ 公司已停止营业或不再经营业务（No Longer Carrying on Business or in Operation）；

• ✅ 公司无意恢复营业（No Intention to Recommence Business）；

• ✅ 公司没有任何资产（No Assets）；

• ✅ 公司没有任何负债（No Liabilities）；

• ✅ 公司没有任何未偿还的银行贷款或借款（No Outstanding Bank Loans or Borrowings）；

• ✅ 公司没有任何应付账款或应收账款（No Outstanding Creditors or Debtors）；

• ✅ 公司没有任何未缴税务或税务责任（No Outstanding Tax Liabilities）；

• ✅ 公司没有任何未缴纳的雇员公积金（EPF）、社会保险（SOCSO）、就业保险计划（EIS）或人力资源发展机构（HRD Corp）相关责任；

• ✅ 公司没有任何尚未结案的法律诉讼或司法程序（No Pending Legal Proceedings）；

• ✅ 公司没有任何已登记而尚未解除的抵押或押记（No Outstanding Registered Charges）；

• ✅ 公司并非控股公司（Not a Holding Company）；

• ✅ 公司并非其他公司的附属公司（Subsidiary），除非符合 SSM 指引所允许的情况；

• ✅ 公司并非任何担保公司的保证人（Not a Guarantor Corporation）；以及

• ✅ 公司并非受任何法律监管且须于解散前取得主管机关批准的持牌公司（Not Licensed Under Laws Requiring Regulatory Approval Before Dissolution）。

注册官的审核要求

根据《2016 年公司法》第 550 条（Section 550），**马来西亚公司委员会（SSM）注册官（Registrar）**必须信纳：

• 公司确实已停止营业或不再运作（The Company is Not Carrying on Business or is Not in Operation）；以及

• 公司已符合《2016 年公司法》第 550 条及相关 SSM 指引规定的所有法定申请条件。

只有在注册官确认上述条件均已符合后，公司除名申请方可获进一步处理
