Recommended Initial Share Capital
For a newly incorporated company, we generally recommend setting the initial Issued Share Capital at RM3,000 to RM5,000, which is typically sufficient to support the company's initial business operations.
A reasonable and modest initial share capital offers several advantages:
  • Avoids setting an excessively high share capital that may be difficult to fully pay up (capital contribution) at the outset.
  • Reduces future compliance risks arising from the inability to provide satisfactory evidence of capital injection or source of funds.
  • Provides flexibility for the company to increase its share capital later as the business expands.

Important Considerations Before Increasing Share Capital
As the company grows, it may wish to increase its issued share capital to strengthen its financial position, apply for government licences, participate in larger tenders, obtain financing, or enhance its corporate image.
Before proceeding with an Increase of Issued Share Capital, shareholders should be prepared to provide supporting documentation to satisfy the company secretary's compliance requirements, including (where applicable):
  • Bank Remittance Advice evidencing the capital contribution
  • Bank Transaction Records
  • Bank Statements
  • Proof of Source of Funds
  • Other supporting documents, such as:
    • Loan agreements
    • Investment agreements
    • Shareholder capital contribution documents
    • Board resolutions
    • Any other relevant supporting evidence

Company Secretary's Compliance Responsibilities
Before carrying out any statutory procedures relating to an increase in issued share capital, the company secretary is required to conduct appropriate compliance and due diligence reviews.
The company secretary must verify that the shareholders have genuinely injected the capital into the company and obtain adequate supporting documentation before processing the statutory filings.
If sufficient documentary evidence of the capital contribution cannot be provided, the company secretary will be unable to proceed with the statutory documentation and registration process for the increase in share capital. This is necessary to ensure compliance with the Companies Act 2016, as well as applicable Anti-Money Laundering (AMLA) and Customer Due Diligence (CDD) requirements.
