COMPANIES ACT 2016 - unit 《2016 年公司法》- 单位

COMPANIES ACT 2016
  “unit
”, in relation to a share, debenture or other interest, means any right or interest therein, by whatever term called;

Under the Companies Act 2016, the term “unit”, in relation to a share, debenture, or other interest, refers to any right or interest in such securities, regardless of the name or description given to that right or interest. This broad definition ensures that the legal effect of an interest is determined by its substance rather than the terminology used.
A unit may represent a proportionate ownership, entitlement, participation, or beneficial interest in shares, debentures, collective investment schemes, trusts, or other financial instruments. It is not limited to a specific legal form or designation and may be referred to by different terms under various investment structures or contractual arrangements.
The phrase "by whatever term called" emphasises that the legal character of the interest prevails over its label. Whether an interest is described as a unit, participation, entitlement, beneficial interest, investment interest, or by any other name, it may still constitute a unit for the purposes of the Companies Act if it represents a right or interest in a share, debenture, or other recognised investment.
This definition enables the Companies Act to accommodate evolving financial products and investment structures without requiring continual amendments to the legislation. It also promotes consistency with Malaysia's securities and capital markets framework by ensuring that equivalent economic interests receive the same legal treatment.

Purpose of the Definition
The definition of “unit” serves several important purposes:
  • Broadly defines any right or beneficial interest in shares, debentures, or other recognised investments.
  • Ensures that legal rights are determined by the substance of the interest rather than the terminology used.
  • Recognises both legal and beneficial interests in securities and investment products.
  • Accommodates a wide range of investment structures, including collective investment schemes, trusts, and other financial arrangements.
  • Promotes consistency between the Companies Act 2016 and Malaysia's securities and capital markets legislation.
  • Prevents the avoidance of statutory obligations through the use of alternative names or investment structures.
  • Provides flexibility for the Companies Act to remain applicable to new and evolving financial products without requiring frequent legislative amendments.
