“unlisted recreational club” has the meaning assigned to it in the Capital Markets and Services Act 2007; 

Under the Companies Act 2016, the term unlisted recreational club adopts the definition provided in the Capital Markets and Services Act 2007 (CMSA). Rather than creating a separate definition, the Companies Act incorporates the CMSA definition to ensure consistency across Malaysia's corporate and capital markets legislation.

In general, an unlisted recreational club refers to a recreational club whose membership interests are not listed or quoted on a recognised stock exchange. Such clubs are typically established to provide recreational, sporting, social, cultural, or leisure facilities and activities for their members. Membership is ordinarily governed by the club's constitution or rules and may carry certain rights and obligations, including the use of club facilities and participation in the club's management.
Although the membership interests of an unlisted recreational club are not publicly traded, they may nevertheless constitute securities or regulated interests under the CMSA in certain circumstances. By adopting the CMSA definition, the Companies Act ensures that any reference to an unlisted recreational club carries the same legal meaning throughout Malaysia's corporate and securities regulatory framework.
